Terms of Service

By accessing or using the Vybe Bot AI platform, website, Chrome extension, dashboard, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately discontinue use of the Service.

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Vybe Bot AI (“Company,” “we,” “us,” or “our”). Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

Vybe Bot AI is an AI-powered creator management platform designed to assist content creators in managing and automating conversations across multiple social media and creator platforms. The Service includes, but is not limited to:

• A Google Chrome browser extension that integrates with supported platforms
• A web-based dashboard for managing settings, analytics, and operations
• AI-powered conversation management and response generation
• Integration with third-party platforms including Snapchat, Fanvue, and Telegram
• Credit-based usage metering and billing

The Service is provided as a tool to assist creators. It does not replace human judgment, and the User remains solely responsible for all content sent through or generated by the Service.

To use the Service, you must create an account and provide accurate, complete, and current information. You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials and API keys
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

Each individual is permitted only one (1) account. Creating multiple accounts to circumvent restrictions, abuse promotions, or evade suspension is strictly prohibited and may result in immediate termination of all associated accounts.

You are solely responsible for the security of any API keys, tokens, or credentials associated with your account. We shall not be liable for any loss or damage arising from your failure to safeguard your credentials.

The Service operates on a credit-based payment system. Credits are purchased through our integrated Stripe payment processing and are used to access AI-powered conversation features.

• Credits are sold at a rate of $0.10 USD per credit (1 credit = 1 AI-managed conversation)
• Credits are non-refundable once consumed or applied to your account
• Unused credits remain on your account but carry no cash value and cannot be transferred
• Pricing is subject to change; we will provide reasonable advance notice of any pricing changes
• Failed or disputed payments may result in immediate suspension of Service access
• Chargebacks or fraudulent payment disputes will result in account termination and may be referred to collections

All payments are processed securely through Stripe. We do not store your full credit card information on our servers. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:

• Violate the terms of service of any integrated platform, including but not limited to Snapchat, Fanvue, and Telegram
• Use the Service to create, distribute, or facilitate illegal content of any kind
• Engage in harassment, threats, intimidation, or abusive behavior through the Service
• Send unsolicited bulk messages, spam, or engage in any form of automated abuse
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Resell, sublicense, or redistribute access to the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Circumvent any security measures, rate limits, or access controls implemented by the Service
• Use the Service to impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Service in any manner that could damage, disable, overburden, or impair the Service

We reserve the right to investigate and take appropriate action against any User who, in our sole discretion, violates this section, including without limitation, removing content, suspending or terminating the User’s account, and reporting to law enforcement authorities.

The Service utilizes artificial intelligence models to generate conversational responses on your behalf. By using the Service, you acknowledge and agree to the following:

• AI-generated responses are produced algorithmically and may not always be accurate, appropriate, or contextually correct
• You are solely responsible for reviewing, editing, and approving all AI-generated content before it is sent to any recipient
• We do not guarantee the quality, accuracy, suitability, or appropriateness of any AI-generated response
• You bear full responsibility for ensuring that all content sent through the Service complies with applicable laws, regulations, and platform-specific rules
• AI-generated content does not represent the views, opinions, or endorsements of Vybe Bot AI

We strongly recommend reviewing automated messages regularly to ensure they meet your standards and comply with the rules of each integrated platform.

The Service, including all software, code, algorithms, designs, graphics, trademarks, logos, and documentation, is the exclusive property of Vybe Bot AI and is protected by intellectual property laws. No rights or licenses are granted to you except as expressly set forth in these Terms.

You retain all rights to content you create, upload, or transmit through the Service (“User Content”). By using the Service, you grant Vybe Bot AI a limited, non-exclusive, royalty-free license to use, process, and transmit your User Content solely for the purpose of operating and providing the Service to you.

You shall not copy, modify, create derivative works from, publicly display, or exploit any part of the Service without our prior written consent.

The Service integrates with third-party platforms including, but not limited to, Snapchat, Fanvue, and Telegram. With respect to these integrations, you acknowledge and agree:

• We utilize third-party APIs and interfaces that are subject to change without notice
• We are not responsible for any outages, disruptions, or changes to third-party platform services
• You must maintain valid and active accounts on all platforms you wish to use with the Service
• Platform policy changes may affect the availability or functionality of certain Service features, and we shall not be liable for such changes
• Your use of integrated platforms is subject to those platforms’ respective terms of service and privacy policies
• We make no representations or warranties regarding the continued availability of any third-party integration

Any actions taken by third-party platforms against your account, including but not limited to suspensions or bans, are outside our control and we bear no responsibility or liability for such actions.

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

You acknowledge that the Service may process conversation data, message content, and user interaction metadata in order to provide AI-powered features. We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You are responsible for maintaining backups of any critical data.

We may collect anonymized and aggregated usage data for the purpose of improving the Service. Such data will not be personally identifiable and may be used without restriction.

You agree to defend, indemnify, and hold harmless Vybe Bot AI, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of or access to the Service
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party platform’s terms of service, community guidelines, or acceptable use policies
• Any content sent, created, or distributed through the Service using your account
• Your interactions with fans, subscribers, or any third parties facilitated by the Service
• Any claim that your User Content infringes or violates the intellectual property or other rights of any third party
• Your negligent or willful misconduct

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

We reserve the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

• Violation of these Terms or any applicable law
• Fraudulent, abusive, or illegal activity
• Filing of chargebacks or payment disputes deemed to be in bad faith
• Extended period of account inactivity
• At our sole discretion, with reasonable notice

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard settings. Upon termination:

• All unused credits are forfeited and are non-refundable
• Your right to access and use the Service immediately ceases
• We may retain certain data as required by law or for legitimate business purposes
• Provisions that by their nature should survive termination shall remain in full force and effect

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator and shall take place in the United States.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Material changes will be communicated to you at least thirty (30) days in advance through one or more of the following methods: email notification, in-app notification, or prominent posting on our website.

Your continued use of the Service following the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and terminate your account.

It is your responsibility to review these Terms periodically. The “Last updated” date at the top of this page indicates when these Terms were last revised.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Vybe Bot AI regarding your use of the Service. These Terms supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and Vybe Bot AI with respect to the Service.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
